The ground rules, in human language.

1. Acceptance and eligibility

These Terms of Service (“Terms”) are an agreement between you and Zone Agents (“Zone Agents,” “we,” “us,” or “our”). By accessing or using our websites, application, APIs, or related services (the “Service”), you agree to these Terms and our Privacy Policy.

You must be at least 18 and legally able to enter into this agreement. If you use the Service for an organization, you confirm that you have authority to bind that organization.

2. What the Service does

Zone Agents searches public zoning, council, flood, entitlement, and related records and uses automated systems to prepare sourced site-intelligence briefs. Coverage differs by municipality, public sources change, and some records are incomplete, unavailable online, or blocked from automated access.

The Service is research support, not legal, planning, engineering, surveying, environmental, financial, or investment advice. A report is not an official zoning certificate, title opinion, environmental assessment, legal interpretation, or municipal approval. You are responsible for checking material findings against the cited source and obtaining professional or municipal confirmation before relying on them.

3. Accounts and access

You must provide accurate account information, protect your sign-in methods, and promptly tell us if you suspect unauthorized access. You are responsible for activity performed through your account unless caused by our breach of these Terms.

We may apply reasonable usage limits and may suspend access when necessary to protect the Service, other users, or public data providers.

4. Acceptable use

You may use the Service for lawful business research and diligence. You may not:

• use it to violate law, privacy, intellectual-property rights, or a public source’s access rules;
• submit highly sensitive, confidential, or unnecessary personal information about individuals;
• misrepresent a Zone Agents report as an official government record or guaranteed professional conclusion;
• attempt to bypass access controls or usage limits, disrupt the Service, distribute malware, or probe for vulnerabilities without written authorization; or
• resell, scrape, or systematically copy the Service itself except through an authorized plan, API, or written agreement.

5. Your content and our materials

You keep ownership of the questions, addresses, instructions, and other content you submit. You give us a limited licence to process that content only as needed to provide, secure, maintain, and improve the Service and to meet legal obligations.

Public records remain subject to their source terms. Zone Agents owns the Service, its software, presentation, workflows, and original materials. Subject to these Terms, you may use and share reports generated for your organization’s internal business purposes.

Feedback is voluntary. If you provide it, you allow us to use it without restriction or payment, provided we do not publicly identify you without permission.

6. Third-party services and sources

The Service depends on authentication, hosting, artificial-intelligence, search, mapping, and public-data providers. Their systems and links may be governed by separate terms and may change or become unavailable. We are not responsible for third-party websites or for errors in records published by a government or other source.

7. Plans and payment

If we offer a paid plan, its price, billing period, included usage, renewal terms, and cancellation options will be shown before purchase. Unless the purchase terms say otherwise, fees are in Canadian dollars and exclude applicable taxes.

8. Suspension and termination

You may stop using the Service at any time. You may request account deletion as described in the Privacy Policy. We may suspend or terminate access for a material breach, unlawful use, security risk, non-payment, or conduct that could harm the Service or others. Where reasonable, we will provide notice and an opportunity to correct the issue.

9. Availability and disclaimers

We work to make the Service useful, secure, and honest about gaps, but it is provided on an “as is” and “as available” basis. To the extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.

We do not guarantee that every source is current or complete, every relevant record will be found, or every generated statement will be correct. A failed or empty source lookup is not proof that no restriction, record, or risk exists.

10. Liability

To the extent permitted by law, Zone Agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, opportunities, financing, or transactions arising from the Service.

To the extent permitted by law, our total liability arising from the Service will not exceed the greater of the amount you paid us for the Service during the twelve months before the event giving rise to the claim or CAD $100. Nothing in these Terms excludes liability that cannot legally be excluded.

11. Governing law

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located in Ontario will have exclusive jurisdiction, except where consumer law requires otherwise.

12. Changes and general terms

We may update these Terms as the Service changes. We will post the revised version and update the effective date. Material changes will receive additional notice where required. Continued use after the new Terms take effect means you accept them.

If any provision is unenforceable, the rest remains effective. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a reorganization, financing, sale, or transfer of the Service.
